Terms of Service

Agreement to these Terms

These Terms govern your access to and use of Sage Brief’s websites, applications, and related services. By clicking an acceptance control when one is presented, creating or joining a workspace, connecting a third-party service, starting a trial or subscription, or submitting a request after receiving notice of these Terms, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use Sage Brief.

These Terms are an agreement between you and Sage Brief LLC, a California limited liability company. In these Terms, “Sage Brief,” “we,” “us,” and “our” refer to Sage Brief LLC and the services it provides.

If you use Sage Brief for an employer, client, or other organization, you confirm that you have authority to act for that organization, and “you” includes that organization. If you do not have that authority, you may use Sage Brief only in your individual capacity.

What Sage Brief does

Sage Brief helps users collect creative requests and organize them into structured briefs. Input methods may include Voice, Chat, Files, and a reusable intake link. Sage may identify missing details, apply saved Smart Specs, and suggest saving specifications that appear repeatedly.

Sage Brief does not create the final ads, designs, campaigns, or other creative deliverables. It is an intake and handoff tool. It is not a project-management, storage, legal, financial, or professional advisory service.

Sage Brief is an evolving service. Features may be added, changed, limited, or removed. We will try to avoid changes that unexpectedly damage active user work, but we do not guarantee that every feature will always remain available.

Who may use Sage Brief

You must be at least 18 years old and legally able to enter a contract where you live. Sage Brief is a professional service and is not directed to children. You must provide accurate information and comply with applicable law.

Sage Brief is currently offered for business use in the United States. You may not use the service where doing so would violate applicable trade controls, sanctions, export laws, or other law.

Accounts and workspaces

Protect your sign-in credentials and promptly report suspected unauthorized access. You are responsible for activity under your account unless it results from Sage Brief’s failure to use reasonable security measures.

Workspace owners and administrators control membership, roles, intake links, Smart Specs, workspace settings, and the workspace subscription. They may access, manage, export, or delete workspace content and may remove a member’s access.

Some intake links may be shared with people who do not have a workspace account. If you submit one, the workspace owner and its authorized members can access the information you provide. A workspace customer is responsible for its intake link, the people it invites, and its own use of requester information.

Plans, trials, and billing

Paid plans are offered on monthly or annual billing cycles. Prices are shown in United States dollars unless checkout says otherwise. Taxes may be added where required.

An eligible seven-day free trial requires a payment method. Unless you cancel before the trial ends, the plan selected at checkout begins automatically and Stripe charges the payment method on file. The subscription then renews on the selected monthly or annual billing cycle until canceled.

A promotion may replace or change a trial. Promotions and trials cannot be combined unless checkout says otherwise. Any additional promotion terms shown at checkout apply.

By starting a trial or subscription, you authorize Sage Brief and Stripe to charge the payment method on file for recurring plan fees, applicable taxes, and other amounts shown at checkout. Keep your billing information current. A failed payment may lead to payment retries, limited access, or suspension after any notice or grace period required by law.

We may change plan prices. We will provide advance notice of a material price change when required. A changed price applies to a later renewal only as allowed by law and the notice we provide.

The checkout page controls if it conflicts with a general description in these Terms. Before you place an order, checkout will show the plan, price, billing frequency, trial conversion terms, and how to cancel. We will send an electronic acknowledgment and legally required renewal, trial, and price-change notices.

Usage allowances and credits

Paid plans include unlimited processing of text entered directly into Sage Brief, subject to reasonable-use safeguards, rate limits, and these Terms. “Unlimited” does not permit automated bulk use, resale, account or workspace sharing to avoid plan limits, or use that is excessive in relation to Sage Brief’s intended creative-intake workflow.

Unless checkout or a written order says otherwise, each paid workspace includes 20,000 source-processing credits per calendar month. Source-processing credits are service-usage units used when Sage Brief analyzes uploaded source files and, when available, supported connected documents. The amount used depends on the amount and structure of the source content, not simply the number of files or pages. Your workspace meter shows the applicable allowance, use, remaining credits, and reset time.

Unused source-processing credits expire at the monthly reset, do not roll over, cannot be transferred, and have no cash value. Sage Brief does not automatically charge overage fees. When a workspace reaches its allowance, further source processing pauses until the next reset unless additional capacity has been arranged. A source-processing attempt that fails before completion does not consume finalized credits, although a short temporary reservation may appear while an attempt is in progress.

We may apply technical safeguards and prospectively update how plans or usage units work. We will give advance notice before materially reducing a paid allowance during an active subscription period when required by law. Workspace members may see aggregate workspace usage, and Sage Brief may monitor usage to operate the service, enforce plan limits, prevent abuse, and provide support.

Cancellation and refunds

You can cancel from Plan and billing in Sage Brief, through the Stripe-hosted billing portal, or by emailing support@sagebriefapp.com. Cancel a trial before it ends to avoid the first charge.

A paid cancellation normally takes effect at the end of the current billing period. You can continue using the paid plan until then. Fees already paid are not prorated or refunded unless required by law or stated in a written offer. Your rights under applicable consumer law are not limited by this section.

Deleting an account or workspace does not itself cancel a subscription unless the product expressly confirms cancellation. Cancel the subscription before deleting the account or contact support for help.

Your content

You keep ownership of the content you submit, including request details, files, comments, specifications, and workspace content.

You give Sage Brief a limited, non-exclusive, worldwide license to host, copy, transmit, display, and process your content only as needed to provide, secure, maintain, support, and troubleshoot the service, comply with law, and carry out your instructions. Sage Brief does not use this license to sell your content or to train a Sage Brief generalized or shared AI model. It ends when the content is deleted from our active systems, subject to backups and legally required retention. The Privacy Policy explains how personal information and AI processing are handled.

You confirm that:

  • you have permission to submit the content;
  • the content does not violate another person’s rights;
  • the content does not contain malware or unlawful material;
  • you will not submit confidential or sensitive information unless you are authorized to do so;
  • you will not submit protected health information, biometric identifiers, payment-card data, government identification numbers, passwords, or similarly regulated or highly sensitive data unless Sage Brief expressly supports it and we have agreed in writing.

AI-assisted features

Sage Brief uses automated systems and AI providers to transcribe voice input, interpret submitted text and files, support clarification, and generate or organize request outputs. These features are designed to preserve user-provided facts where they appear in an output, but AI-assisted analysis, questions, summaries, and estimates may be incomplete, inaccurate, nonunique, or unsuitable for your intended use. We may change the providers or models used to deliver these features, and their availability or behavior may vary.

You are responsible for reviewing a brief before submitting, sharing, or relying on it. Do not rely on Sage Brief for legal, medical, financial, safety-critical, or other high-risk decisions. Sage Brief is not designed to make decisions about a person’s eligibility for employment, housing, credit, insurance, healthcare, education, government benefits, or other similarly significant opportunities.

The Privacy Policy explains how AI providers process information. The providers currently involved appear on the Subprocessors page.

As between you and Sage Brief, you retain rights in your input. To the extent Sage Brief obtains rights in output generated specifically for you, Sage Brief assigns those rights to you. This does not grant rights in Sage Brief software, templates, branding, or third-party material, and we do not promise that AI output is copyrightable, exclusive, or free of third-party rights.

Voice and recording consent

Voice features are intended for a user to dictate their own request. If you use Sage Brief to record or transcribe any other person or a conversation, you must give all participants clear notice and obtain every consent required by the laws that apply. Do not record a confidential communication without the consent of all parties where all-party consent is required, including in California. Covert recording is prohibited. By submitting a recording, you confirm that you gave required notice and obtained required consent.

Acceptable use

You may not use Sage Brief to:

  • engage in, promote, or facilitate illegal activity or violate another person’s rights;
  • create, upload, or distribute child sexual abuse or exploitation material, nonconsensual intimate content, or content that unlawfully exploits a person;
  • harm, threaten, harass, defraud, or discriminate against others;
  • impersonate another person, phish, spam, or create deceptive synthetic media;
  • upload malware or interfere with the service;
  • probe, bypass, or defeat security or access controls;
  • access another account or workspace without permission;
  • collect or submit personal information without required notice or consent;
  • record a person or confidential communication without required consent;
  • manipulate, evade, or abuse AI, file, transcription, credit, rate, or other usage limits, including through multiple accounts or workspaces;
  • scrape or overload the service with automated systems; or
  • copy, resell, or reverse engineer the service except where law permits.

If we reasonably believe an account or workspace is involved in illegal activity or is abusing credits, limits, or safeguards, we may throttle or block processing, suspend access, deactivate the account or workspace, or permanently prohibit further use. We may act immediately and without advance notice when reasonably needed to stop unlawful conduct, protect Sage Brief or others, preserve service availability, or comply with law. Where practical and lawful, we will explain the action and provide a way to contact support.

Files and backups

Keep your own copies of important source files and final briefs. Sage Brief is not your only file-storage or backup service. File types, size limits, processing limits, and retention periods may be shown in the product. Source-processing allowances are described above.

You may request access to or deletion of personal information as described in the Privacy Policy. Sage Brief does not promise that every user can download every category of workspace data. Workspace owners and administrators may control export and deletion of workspace content.

Third-party services

Sage Brief depends on third-party services for hosting, authentication, AI, transcription, storage, email, payment processing, and optional connections such as Google, Asana, ClickUp, monday.com, Trello, and Jira. Those services may have their own terms and privacy policies. Stripe handles payment data under its Privacy Policy.

When you connect a service or request an action there, you authorize Sage Brief to exchange the information needed to complete that action. Sage Brief is not responsible for third-party services outside its control.

Sage Brief property and feedback

Sage Brief’s software, design, branding, and original content belong to Sage Brief LLC or its licensors. These Terms do not give you ownership of the service or permission to copy its software or branding.

If you send feedback or suggestions, you allow Sage Brief to use them without payment or obligation. This does not transfer ownership of your requests, briefs, files, or workspace content.

Suspension and termination

You may stop using Sage Brief at any time. We may suspend or end access if you violate these Terms, fail to pay amounts due, create security or legal risk, or seriously disrupt the service. Illegal activity or deliberate abuse of credits, rate limits, or safeguards may result in immediate and permanent deactivation. Where practical and lawful, we will provide notice and an opportunity to address the issue.

Account and workspace deletion may be permanent. Workspace administrators may retain or delete workspace content, and documents already exported to another service remain there. Limited copies may remain temporarily in backups or be retained for security, billing, dispute, or legal reasons as explained in the Privacy Policy.

If Sage Brief ends an active paid subscription for convenience rather than for your breach, illegal activity, nonpayment, or security risk, we will refund the prepaid fee for the unused portion of the paid period.

Indemnity

To the extent allowed by law, you agree to defend, indemnify, and hold harmless Sage Brief LLC and its members, managers, officers, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable legal fees arising from your content, your violation of these Terms or applicable law, or your misuse of the service. This does not require you to indemnify anyone for their own fraud, gross negligence, or willful misconduct, or where prohibited by law.

We will promptly notify you of a covered claim, allow you to control its defense and settlement, and provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by Sage Brief or imposes a nonfinancial obligation on Sage Brief without our written consent.

Disclaimers and limits of liability

To the extent allowed by law, Sage Brief is provided “as is” and “as available.” We do not guarantee that the service will always be available, error-free, secure, or suitable for every project. We do not guarantee that generated content will be accurate or complete.

To the extent allowed by law, Sage Brief LLC and its members, managers, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from the service.

To the extent allowed by law, total liability for claims related to Sage Brief will not exceed the greater of the amount you paid for the service during the 12 months before the claim or US$100. Some locations do not allow certain disclaimers or limits, so parts of this section may not apply to you.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, violation of law, or another liability that cannot lawfully be excluded or limited. These Terms do not waive nonwaivable consumer rights.

General terms

If a provision is unenforceable, it will be modified only as much as needed, and the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement about the service unless separate written terms apply. You may not transfer these Terms without our consent. We may transfer them as part of a reorganization, financing, sale, or transfer of the service.

California law governs these Terms, without regard to conflict-of-law rules. Any dispute about the use, payment, or provision of Sage Brief that is not eligible for small claims court will be brought in the state or federal courts located in San Francisco County, California, unless applicable consumer law requires another forum. You and Sage Brief LLC consent to those courts’ personal jurisdiction and venue.

Neither party is liable for delay or failure caused by events beyond its reasonable control. Provisions that by their nature should continue—including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms—survive termination.

Notices to Sage Brief must be sent to the contact information below. We may send service or legal notices to the email associated with your account. Electronic notices are effective when sent, subject to applicable law.

Changes to these Terms

We may update these Terms as Sage Brief changes. We will post the new effective date and provide additional notice when required. If a change materially affects an active paid subscription or is otherwise materially adverse, we will provide notice by email or in the service at least 30 days before it takes effect, unless a shorter period is required for law, security, or abuse prevention. You may cancel before the change takes effect. Changes apply prospectively and do not alter a dispute that arose before their effective date. Continued use after an update means you accept the revised Terms where permitted by law.
